Understanding board roles
It is critical that all management committee members understand their role and responsibilities when meeting together collectively and do not act beyond their authority by interfering, as individual committee members, in operational issues that are delegated to staff or volunteers.
This Guide contains detailed guidance on the roles and responsibilities of the management committee, management committee members and office-bearers. It is helpful if the committee develops its own governance manual (drawing on the materials in the Guide). Such a manual should contain:
- The role and responsibilities of the management committee
- The role and responsibilities of individual management committee members
- The role and responsibilities of the chairperson
- The role and responsibilities of the treasurer
- The role and responsibilities of the secretary
- The role and responsibilities of any subcommittees
- The code of conduct
- The conflict of interest policy
